Signing a letter of intent with Mostostal S.A.
The Management Board of PKP CARGO S.A. in restructuring (“Company”, “Issuer”) informs that on December 30, 2024, it concluded with Mostostal S.A. with its registered office in Warsaw (“Mostostal”) (“Parties”) letter of intent (“Letter of Intent”).
The subject of the Letter of Intent is to enable Mostostal to perform due diligence on PKP CARGO properties located in Warsaw in the area of ul. Golędzinowska 37A, Jagiellońska, Pożarowa (“Real Estate 1”) and in Wrocław, Gądów at ul. At Last Groszu (“Real Estate 2”) in order to verify their legal and technical status. Within due diligence The Parties will make the necessary arrangements for further cooperation and conclusion of contracts and understandings, as well as preparation of other documents that will prove necessary to complete the above-mentioned. acquisition. Before commencing the transaction, an assessment of the market value of Real Estate 1 and Real Estate 2 will be prepared, and the necessary examination of the physical and legal condition of these Real Estate properties together with the assets permanently associated with the Real Estate will be carried out.
Performing due diligence will constitute the basis for Mostostal to make a decision to acquire the right of perpetual usufruct of land located in Warsaw in the area of ul. Golędzinowska 37A, Jagiellońska, Pożarowa and the right of perpetual usufruct of land located in Wrocław at ul. On the Last Penny, together with assets permanently related to Real Estate 1 and Real Estate 2, for the purpose of implementing construction investments.
The Letter of Intent is binding on the Parties until March 31, 2025. The Parties reserve the right to shorten or extend the validity period of the Letter of Intent by agreement of the Parties.
