Significant equity stakes / Change in shareholding

The Management Board of PKP CARGO S.A. (“Company”) hereby reports that on 16 May 2023 it received information from PTE Allianz Polska S.A. with its registered office in Warsaw that pursuant to Article 69(1)(1) in conjunction with Article 87(1)(2b) of the Act on Public Offerings and the Terms and Conditions for Introducing Financial Instruments to an Organized Trading System and on Public Companies (consolidated text: Journal of Laws of 2022, item 2554, as amended; “Act”), Powszechne Towarzystwo Emerytalne Allianz Polska S.A. managing Allianz Polska Otwarty Fundusz Emerytalny (hereinafter: Allianz OFE) notified the Company that pursuant to Article 69(1) of the Act of 28 August 1997 on the Organization and Operation of Pension Funds (consolidated text: Journal of Laws of 2022, item 2342, as amended), on 12 May 2023, as a result of the liquidation of Drugi Allianz Polska Otwarty Fundusz Emerytalny (hereinafter: Drugi Allianz OFE) by way of a transfer of its assets to Allianz OFE, the stake in the total number of votes in PKP CARGO S.A. on the accounts of Allianz OFE exceeded 5%.
