Decision to conclude a framework cooperation agreement and commercial and wagon rental agreements with companies from the Azoty Group

The Management Board of PKP CARGO S.A. under restructuring (“Company”, “PKP CARGO”) hereby reports that on March 25, 2025, decided to conclude a framework agreement on cooperation between the Issuer and companies from the Azoty Group, commercial agreements with companies belonging to the Azoty Group, which will be the transport of goods in domestic transport, export, import and on foreign sections, as well as agreements with Grupa Azoty Zakłady Azotowe Puławy S.A. and Grupa Azoty S.A. for the wagons rental owned by the Company.

The agreements will be valid until 31.08.2027.

The maximum estimated total value of the above agreements during their term will be PLN 233.45 million net.

The remaining terms of the agreements do not differ in nature from contracts of this type concluded by the Company. The conclusion of the above-mentioned agreements is planned in the coming weeks. The agreements will constitute a continuation of the Issuer’s cooperation with companies from the Azoty Group for the provision of rail transport services, including the continuation of comprehensive service for the entire Azoty Group in this respect.
