Appointment of the Supervisory Board Member

The Management Board of PKP CARGO S.A. (“Company”) announces that on 16 December 2013, it received from PKP S.A. – a shareholder of the Company, a letter dated 13 December 2013 filed under Art. 385 § 2 of the Code of Commercial Companies in connection with § 19 item 2 and 6 of the Company’s Articles of Association on the appointment of Mr. Konrad Anuszkiewicz to the position of a member of the Company’s Supervisory Board.

Mr. Konrad Anuszkiewicz is a graduate of the Faculty of Information Technology and Management with specialization in Financial Management of the Wrocław University of Economics. From the beginning of his professional career Mr. Anuszkiewicz has been working in financial sector in the field of capital markets. In 2004-2007 he participated in the Management Development Programme at Citibank Handlowy and in February 2007- January 2008 held a position of an analyst in investor relations department of PGNiG S.A. During the period 2008-2013 Mr. Anuszkiewicz worked as an equity analyst for Esprito Santo Investment Poland and Ipopema Securities, where he analyzed and issued recommendations for listed chemical and fuel companies. Since September 2013, Mr. Anuszkiewicz has been a member of the Management Board and co-owner of consultancy Opti Capital Sp. z.o.o.

In accordance with the declaration submitted, Mr Konrad Anuszkiewicz has neither been entered to the Register of Insolvent Debtors, kept on the basis of the Act on the National Court Register (KRS), nor is he involved in any activities competitive towards the business operations conducted by the Company. Furthermore, Mr Konrad Anuszkiewicz is neither a partner in any competitive civil law partnerships or other partnerships, nor is he a member of governing bodies of any joint stock companies, or a member of governing bodies of any other competitive legal entities.
