Appointment of PKP CARGO S.A. Supervisory Board members – correction to the report

Legal basis (selected in ESPI): Article 56 Section 1 Item 2 of the Act on Offering – current and periodic information

The Management Board of PKP CARGO S.A. (“Company”, “PKP CARGO”) hereby reports that on 11 May 2016 it received a letter from Polskie Koleje Państwowe S.A. (“PKP”), a Company shareholder, submitted as a supplement to the letter of 9 May 2016 published by the Company as current report no. 30/2016 of 9 May 2016 to appoint the following members of the PKP CARGO S.A. Supervisory Board.

In the letter, PKP informed that the appointment of five persons to the PKP CARGO Supervisory Board of the 6th term of office is effective as of 11 May 2016, i.e. as at the date of holding the Ordinary Shareholder Meeting approving the financial statements for the last full financial year of the Supervisory Board of the 5th term of office. At the same time, PKP informed that the sixth PKP representative will be appointed to the PKP CARGO Supervisory Board pursuant to § 19 sec. 2 and sec. 6 of the Company’s Articles of Association at a later date by a separate letter.

At the same time, the Management Board of the Company reports that, according to the representations submitted to the Company, none of the newly-elected members of the PKP CARGO Supervisory Board conducts any activity competitive to that of the Company or is involved in any competitive company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company or participates in another competitive legal person as a member of its corporate body, or is listed in the Insolvent Debtor Register kept pursuant to the National Court Register Act of 20 August 1997 (Journal of Laws of 2015, Item 1142).
