Appointment of a Supervisory Board member representing the employees

The Management Board of PKP CARGO S.A. (“Company”, “PKP CARGO”) reports that on 23 April 2018, the Company’s Supervisory Board adopted a resolution declaring appointment of the candidate nominated to be the employee representative in the PKP CARGO Supervisory Board for the 6th term of office.
Having conducted the supplementary election of a candidate to represent the employees in the PKP CARGO’s Supervisory Board of the 6th term of office, the Company’s Supervisory Board declared appointment of Mr. Jerzy Sośnierz, the candidate nominated to be the employee representative, to the PKP CARGO Supervisory Board for the 6th term of office, effective as of 1 May 2018.
This Resolution comes into force on 25 April 2018.
In connection with the death of Mr. Marek Podskalny, on 24 November 2017, the term of the PKP CARGO Supervisory Board member expired. Considering that Mr. Marek Podskalny was a PKP CARGO S.A. Supervisory Board member elected on behalf of the employees, the Supervisory Board took measures to supplement the composition of the Supervisory Board.
In 1978 Mr. Jerzy Sośnierz graduated from the Technical School of Metallurgy in Dąbrowa Górnicza in the field of mining machinery construction. He took a train traffic controller course in 1979. In 2010 he received a master’s degree from the Administration and Management Faculty of the Humanitas University in Sosnowiec, majoring in public administration.
Mr. Sośnierz has 40 years of experience in the railway industry. His professional career began in 1978 when he became a train traffic controller in Bukowno, later becoming a dispatcher in Jaworzno-Szczakowa and after the restructuring of PKP CARGO S.A. he became a shift dispatcher in Katowice. He co-founded the Bukowno Chapter of the NSZZ Solidarność trade union. He has been connected to NSZZ Solidarność ever since, acting as the Chairman of the Union at the PKP Cargo S.A. South Unit. During his term in office, he was member of the Executive Committee of the Trade Section in PKP CARGO S.A., member of the Council of the Trade Section in PKP CARGO S.A., member of the National Council of the Railwaymen Section and a Delegate for the General Meeting of the Transport Secretariate.
Mr. Jerzy Sośnierz does not conduct activity competitive to that of the Company and is not involved in any competing company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company or participate in another competing legal person as a member of its corporate body. Nor is he listed in the Insolvent Debtor Register kept pursuant to the KRS Act.
