Adoption by the Supervisory Board of the consolidated text of Articles of Association of the Company

Legal basis (selected in ESPI): Art. 56 sec.1 item 2 of the Act on Offering – current and periodic information

The Management Board of PKP CARGO S.A. („the Company”) hereby informs, that on 30 October 2015 the Company’s Supervisory Board resolved to adopt the consolidated text of the Company’s Articles of Association.

The consolidated text of the Company’s Articles of Association takes into account the following amendments adopted by:

1) Resolution No. 9/2015 of the Company’s Extraordinary General Meeting of 20 July 2015;

2) Resolutions No. 11/2015, 14/2015 and 15/2015 of the Company’s Extraordinary General Meeting of 29 September 2015.

The Resolution of the Company’s Supervisory Board came into force upon the date of adoption.

The consolidated text of the Company’s Articles of Association is attached to this report.

§ 38 section 1 item 2 b) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the law of a non-member state (Journal of Laws of 2014, item 133).
