Signing of a letter of intent regarding PKP CARGOTABOR Sp. z o. o. in restructuring

The Management Board of PKP CARGO S.A. in restructuring (“Company”, “Issuer”) informs that on December 10, 2024, the Company together with PKP S.A. and with PKP CARGOTABOR sp. z o. o. in restructuring (“PKP CARGOTABOR”) concluded an agreement with PKP Linia Hutnicza Szerokotorowa sp. z o.o. with its registered office in Zamość (“PKP LHS”) (“Parties”) a four-party letter of intent (“Letter of Intent”).

The subject of the Letter of Intent is to initiate talks aimed at determining possible options for carrying out a paid transaction of putting into use or purchasing an organized part of the enterprise of PKP CARGOTABOR (“ZCP”) by PKP LHS.

In order to implement the Letter of Intent, the Parties will enter into negotiations to agree on the type of target contract, the rules of its conclusion and details regarding its content and other contracts (agreements) related to it, which could be concluded no later than July 1, 2025.

The Letter of Intent binds the Parties until the conclusion of the contract, but no longer than until December 31, 2025.
