Selection of Supervisory Board members on part of the employees

The Management Board of PKP CARGO S.A. (“Company”) reports that on 14 December 2015 the Central Election Commission of PKP CARGO S.A. in Warsaw adopted a resolution to accept the announcement of the results of the replacement elections for two candidates to be employee representatives in the PKP CARGO S.A. Supervisory Board according to which the Company’s employees cast the highest number of valid votes for the following two candidates from among the total number of five:

• Mr. Edward Kłos,
• Mr. Wojciech Flacht.

According to § 13 Section 4 of the “Rules and regulations for running elections for candidates to become an employee representative in the PKP CARGO S.A. Management Board and to appoint employee representatives to the PKP CARGO S.A. Supervisory Board and the procedure for their removal” the Company’s Supervisory Board asserts the validity and correctness of the elections of the employee representatives to the Supervisory Board through its resolution.

The Supervisory Board’s assertion that the election of the employee representatives to the Supervisory Board is valid and correct is equivalent to appointing these employee representatives to act in this capacity in the Company’s Supervisory Board.

Accordingly, the Company’s Management Board will report on the performance of this activity by the Company’s Supervisory Board by a separate current report.
