Registration of amendments to PKP CARGO S.A.’s Articles of Association

Article 56 Section 1 Item 2 of the Act on Offerings – current and periodic information

With reference to Current Report No. 3/2019 of 16 January 2019, the Management Board of PKP CARGO S.A. (“Company”) hereby reports that the Company has received a decision issued by the District Court for the Capital City of Warsaw in Warsaw to enter amendments to the Company’s Articles of Association adopted by the Extraordinary Shareholder Meeting of PKP CARGO S.A. held on 16 January 2019 in the National Court Register.

The amendments in question were adopted by Resolution Nos. 2/2019, 3/2019, 4/2019, 6/2019, 8/2019, 11/2019 and 13/2019.

The Court’s decision does not include the amendment adopted by Resolution No. 3/2019 in §3 on the new wording of § 26 sec. 2 item 6 of the Articles of Association. At the same time, the Company’s Management Board explains that it has not received the Court’s refusal to enter the said amendment in the register. The Company is in the process of elucidating the situation.

The wording of the amended and new provisions of the Articles of Association is attached to this report.

According to the Court’s decision received by the Company, the entry was made on 6 February 2019.
