Adoption of the consolidated text of Articles of Association by the Supervisory Board of PKP CARGO S.A.

Legal basis (selected in ESPI): Art. 56 sec.1 item 2 of the Act on Offering – current and periodic information

With reference to the current report No. 47/2014 and No. 48/2014 of 30 July 2014, the Management Board of PKP CARGO S.A. („Company”) hereby informs, that on 28 August 2014 the Company’s Supervisory Board resolved to adopt the consolidated text of the Articles of Association attached to this current report (Annex 1).

The consolidated text of the Company’s Articles of Association takes into account the changes adopted by the resolution No. 6/2014 of the Company’s Extraordinary General Meeting of 30 July 2014.

A detailed list of the changes made to the Articles of Association on the basis of the above resolution of the Extraordinary General Meeting is presented in the Annex 2 to this report.

Legal basis: § 38 section 1 item 2 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the law of a non-member state (Journal of Laws of 2014, item 133).
