Formation of the PKP CARGO S.A. Supervisory Board

The Management Board of PKP CARGO S.A.( “Company”) hereby reports that, at the meeting held on 12 July 2022, PKP CARGO S.A.

Supervisory Board of the 8th term of office was formed.The PKP CARGO S.A. Supervisory Board of the 8th term is now composed of:

1. Władysław Szczepkowski – Chairman of the PKP CARGO S.A. Supervisory Board,

 

2. Andrzej Leszczyński – Vice-Chairman of the PKP CARGO S.A. Supervisory Board,

 

3. Henryk Grymel – Member of the PKP CARGO S.A. Supervisory Board,

 

4. Tomasz Andrzej Pietrek – Member of the PKP CARGO S.A. Supervisory Board,

 

5. Marek Ryszka – Member of the PKP CARGO S.A. Supervisory Board

 

6. Paweł Sosnowski – Member of the PKP CARGO S.A. Supervisory Board,

 

7. Jarosław Stawiarski – Member of the PKP CARGO S.A. Supervisory Board,

 

8. Mr. Jarosław Ślepaczuk – Member of the PKP CARGO S.A. Supervisory Board,

 

9. Michał Wnorowski – Member of the PKP CARGO S.A. Supervisory Board,

 

10. Izabela Wojtyczka – Member of the PKP CARGO S.A. Supervisory Board.

The Company’s Supervisory Board elected:

– Mr.Władysław Szczepkowski to serve as the Supervisory Board Chairman,

– Mr. Andrzej Leszczyński to serve as the Supervisory Board Vice-Chairman.

In parallel, the Company hereby reports that on 12 July 2022 the PKP CARGO S.A. Supervisory Board appointed the Audit Committee of the Supervisory Board of the 8th term of office composed of:

– Ms. Izabela Wojtyczka,
– Mr. Michał Wnorowski,
– Mr. Jarosław Ślepaczuk.

The independence criteria for members of the Audit Committee of the PKP CARGO S.A. Supervisory Board specified in Article 129(3) of the Act of 11 May 2017 on Statutory Auditors, Audit Firms and Public Oversight and in §20-21 of the Articles of Association of PKP CARGO S.A. are satisfied by both Ms. Izabela Wojtyczka and Mr. Michał Wnorowski.

The Company also hereby reports that the following representatives of the Company’s employees, pursuant to §19(3) of the Articles of Association, are members of the Company’s Supervisory Board:

– Mr. Henryk Grymel,
– Mr. Tomasz Andrzej Pietrek,
– Mr. Jarosław Ślepaczuk.

According to the submitted declarations, the PKP CARGO S.A. Supervisory Board members who are representatives of the Company’s employees do not conduct any activity competitive to that of the Company and are not involved in any competing company as partners in a civil law company, partnership or capital company or participate in another competing legal person as members of its corporate body; they are also not listed in the Insolvent Debtor Register kept pursuant to the KRS Act. Information on the education, qualifications and positions held previously and a description of the career of the Supervisory Board members who are representatives of the Company’s employees is presented in an attachment to this Current Report.

The Company also hereby reports that the following representatives of the Company’s employees, pursuant to §19(3) of the Articles of Association, are members of the Company’s Supervisory Board:
