Registration of an amendment to the Company’s Articles of Association

The Management Board of PKP CARGO S.A. (“Company”), with reference to Reports No. 18/2023 and 19/2023 dated 1 June 2023, as well as Report No. 20/2023 dated 2 June 2023, hereby reports that today it received information about the Decision (“Decision”) of the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register (“District Court”), dated 10 July 2023, amending the Decision dated 1 June 2023 (Current Report No. 19/2023), appealed by the Company, and the entry made thereunder, on 1 June 2023, of the District Court’s dismissal of the Company’s application for registration of an amendment to § 23 of the Company’s Articles of Association consisting in the addition of paragraph 4.

Pursuant to the said Decision dated 10 July 2023, the District Court registered the amendment to § 23 of the Company’s Articles of Association, consisting in the addition of paragraph 4, which reads:

“4. Meetings of the Supervisory Board are convened by the Chairperson, except that the first meeting of the Supervisory Board of a new term of office is convened by the Company’s Management Board not later than within 14 days from the date of appointment of the Supervisory Board of such new term of office; until the election of the Supervisory Board Chairperson for a new term of office, the first meeting of the Supervisory Board is chaired by the President of the Management Board.”.

The above amendment to the Company’s Articles of Association was made by Resolution No. 10/2023 of the Company’s Extraordinary Shareholder Meeting of 17 May 2023 on amendments to the Articles of Association.
