Execution of an agreement by a subsidiary for the purchase of assets of a branch under liquidation of Alstom Pojazdy Szynowe Sp. z o.o.

The Management Board of PKP CARGO S.A. (“Company”, “PKP CARGO”) hereby reports that on 30 January 2023 an agreement was entered into by the Company’s subsidiary, PKP CARGOTABOR Sp. z o.o., with ALSTOM POJAZDY SZYNOWE Sp. z o.o. (“ALSTOM”) for the purchase of assets of ALSTOM’s branch under liquidation.

The agreement concerns the purchase of:

a) tangible assets along with related property rights to the documentation of assets and intangible assets, that is protection rights to trademarks, and property rights to the documentation of assets and other proprietary copyrights to the documentation of assets,

b) inventories in stock.

The net value of the agreement is PLN 13,500,000.00 plus VAT at the applicable rate.

The agreement is significant for the PKP CARGO Group as it ensures the availability of repair packages for electrical equipment used in a series of locomotives operated by the Group’s member companies. Under the agreement, the Group will be able to take advantage of locomotive repair and maintenance services provided by PKP CARGOTABOR Sp. z o.o.
