Allocation of the series A shares of the company PKP CARGO S.A.

The Management Board of PKP CARGO S.A. („Company”) hereby informs, that on 28 October 2013 it received the Resolution No. 634 of the Management Board of PKP S.A. on the allotment of 20.926.171 (twenty million nine hundred twenty six thousand one hundred seventy one) series A ordinary bearer shares of the Company with a nominal value of 50 PLN (fifty zlotys )each („Offered Shares”). The Offered Shares were placed with investors in a process of public offering conducted pursuant to Company’s prospectus approved by the Securities and Exchange Commission (“KNF”) on October 4, 2013 with annexes and updating statements.
Pursuant to the aforementioned Resolution, 20.926.171 (twenty million nine hundred twenty six thousand one hundred seventy one) series A ordinary bearer shares of the Company with a nominal value of 50 PLN (fifty zlotys) each were allocated as follows:
- 3.600.000 (three million six hundred thousand) of the Offered Shares were allotted to Individual Investors, on whose securities accounts the Offered Shares had been registered on 25 October 2013 in such numbers at which the Offered Shares had been registered on securities accounts of particular Individual Investors, and
- 17.326.171 (seventeen million three hundred twenty six thousand one hundred seventy one) of the Offered Shares were allocated to Institutional Investors indicated in the allotment list, which is Appendix 1 to the aforementioned Resolution. The Offered Shares were placed with particular Institutional Investors, in a number indicated in the allotment list.
The Resolution pointed out that it shall enter into force on the date of adoption, i.e. on 28 October 2013.
